These Terms set the rules for companies and specialists using the Deeptal marketplace.

Keep your account secure, provide accurate information, and follow our policies.

Acceptance of Terms

By accessing or using the Services, you agree to these Terms and any additional policies referenced here. If you do not agree, do not use the Services.

Eligibility

You must be at least 18 years old and able to form a binding contract. You represent that you have the authority to accept these Terms on behalf of yourself or your organization.

Services and platform role

Deeptal provides a marketplace and related tools, including guided hiring and delivery hubs. We facilitate connections, workflows, and compliance processes, but we are not a party to agreements between companies and specialists unless explicitly stated.

Account registration and security

  • - Provide accurate, current information and keep it updated.
  • - Maintain the confidentiality of your credentials and notify us of unauthorized access.
  • - You are responsible for activity that occurs under your account.

Company responsibilities

  • - Post accurate role details, requirements, and scope.
  • - Review candidates and make hiring decisions independently.
  • - Use the platform to manage interviews, onboarding, and payment workflows where applicable.
  • - Comply with applicable employment, labor, and tax laws in your jurisdictions.

Specialist responsibilities

  • - Provide accurate profile, availability, and skills information.
  • - Respond to inquiries and interviews promptly and professionally.
  • - Meet agreed deliverables and follow company instructions within the scope of engagement.
  • - Maintain required insurance, certifications, or compliance documentation if applicable.

Marketplace conduct

  • - Do not misuse the Services, attempt to bypass platform workflows, or harvest data.
  • - Do not submit false or misleading information.
  • - Do not engage in unlawful, discriminatory, or abusive behavior.
  • - Respect confidentiality and data protection requirements.

Payments, fees, and taxes

  • - Fees, rates, and payment terms are specified in the applicable engagement terms or order form.
  • - Companies are responsible for paying agreed fees; specialists are responsible for applicable taxes on their earnings.
  • - We may use third-party payment processors and may pass through their fees where disclosed.
  • - Late payments may result in suspension or termination of access.

Compliance and background checks

We may conduct verification steps, compliance checks, or background screening where permitted by law. You agree to provide required information and documentation for these checks.

User content and licenses

  • - You retain ownership of content you submit, but you grant Deeptal a non-exclusive, worldwide license to host and process it to provide the Services.
  • - You represent that you have the rights necessary to upload or share your content.
  • - We may remove content that violates these Terms or applicable law.

Intellectual property

The Services, trademarks, and content provided by Deeptal are owned by Deeptal or its licensors. You may not copy, modify, or create derivative works without permission.

Confidentiality

You agree to keep confidential information obtained through the Services confidential and to use it only for its intended purpose. This includes company materials, candidate details, and pricing.

Third-party services

The Services may integrate with third-party tools. Deeptal is not responsible for third-party services, and your use of them is subject to their terms.

Termination and suspension

We may suspend or terminate access if you violate these Terms, create risk to the platform, or if required by law. You may stop using the Services at any time. Certain sections survive termination, including IP, confidentiality, and limitations of liability.

Disclaimers

The Services are provided "as is" and "as available". We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement to the extent permitted by law.

Limitation of liability

To the maximum extent permitted by law, Deeptal is not liable for indirect, incidental, special, or consequential damages, or for loss of profits, data, or business opportunities. Our total liability is limited to the amounts paid to us for the Services in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold Deeptal harmless from claims arising out of your use of the Services, your content, or your violation of these Terms or applicable law.

Governing law and disputes

These Terms are governed by the laws of the jurisdiction where Deeptal is incorporated, without regard to conflict of laws principles. Disputes will be resolved in the courts located in that jurisdiction unless otherwise required by law.

Changes to these Terms

We may update these Terms periodically. If we make material changes, we will provide notice through the Services or other appropriate channels. Continued use after changes means acceptance.
